What a useful contract review should answer

Who must do what, and by when? What happens if performance is delayed, incomplete, or disputed? Who bears unexpected costs? How can the relationship be ended? Where and how will disputes be resolved? Are indemnity, limitation-of-liability, insurance, warranty, fee-shifting, notice, and integration provisions aligned with the actual deal?

The goal is not to make every agreement longer. It is to make the important provisions clearer and more intentional.

When the contract is already in dispute

Once performance breaks down, the written agreement is only the beginning. Course of performance, amendments, change orders, communications, waiver, damages, mitigation, and available equitable remedies can all matter. The firm evaluates the document together with the factual record and business objective.
